Article 2. CONSENT TO TERMS OF AGREEMENT

• 2.1 You as a Participant (Musahim) or Subscriber (Musharik) must read understand and agree to Yjoz Privacy Notice as well as Yjoz Terms and Conditions as given in this contract, to know rights and responsibilities arising from this contractual engagement with Yjoz related to participation and or payment of deposits, subscription, delivery of product(s), collection, processing and sharing of personal information give your comprehensive, final, legal and personal consent with unconditional agreement.

Article 3. TERMS AND CONDITIONS

• 3.1 Yjoz Terms and Conditions has two parts; one for Participation (Musahamah) and the other for Subscription (Musharakah). Please read and acknowledge these terms and conditions as part of your agreement to avoid any miscommunication, misunderstanding and disputes during your engagement with Yjoz namely:
• a. Participation (Musahamah) – Conditions for Display of products for hire purchase.
• b. Subscription (Musharakah) - Conditions for hire purchase of product(s).
• 3.2 Conditions for Display of product(s) for Hire Purchase – Participation (Musahamah).
• 3.2.1 As a Participant (Musahim) vendor or seller, the you agree to offer Yjoz to display your product(s) for hire purchase which provides you with a golden opportunity to minimise wastage and maximize earning revenue through Yjoz.
• 3.2.2 You must register online and become a member of Yjoz by filling the online order form, accept Yjoz Terms and Conditions for Participation (Musahamah) and participate with your product(s) for hire purchase and offer a price for your product(s) to be displayed on Yjoz.
• 3.2.3 Upon acceptance of your offered product(s) and price, Yjoz shall share with you a contribution margin that you will earn through participation of your product(s) for hire purchase on Yjoz.
• 3.2.4 After mutual agreement on the product(s), price and contribution margin, Yjoz will arrange to pick the product(s) from your location, as per Yjoz pick up policy and your product(s) will be displayed on Yjoz.
• 3.2.5 You have the right to cancel the Participation (Musahamah) at any time by sending an online request to cancel your participation to Yjoz as per terms and conditions.
• 3.2.6 Once your cancellation request has been approved by Yjoz, you must collect the product(s), as it is and where it is basis, from Yjoz location at your own expense, within a maximum 30 days OR you may request Yjoz to deliver the product(s) to your preferred address after settlement of delivery charges to Yjoz.
• 3.2.7 Upon cancellation of your Participation (Musahamah) with Yjoz and if you fail to collect your product(s) within the 30 days period, you agree to waive all your rights and Yjoz has the right to transfer the product(s) to its ownership automatically and without any further notice.

3.3 Conditions for Hire purchase – Subscription (Musharakah)

• 3.3.1 As a Subscriber (Musharik), or customer of Yjoz you may opt to hire and or purchase the product(s) with the convenience of enjoying the product(s) for a small charge and or purchase it from Yjoz at a discount.
• 3.3.2 You must register online and become a member of Yjoz, choose scheme of subscription (either to hire or purchase) by filling the online order form and accept Yjoz Terms and Conditions for Subscription (Musharakah).
• 3.3.3 Once the product(s) and scheme of subscription (hire or purchase) has been selected, deposit and subscription paid, Yjoz will deliver the product(s) to the address provided, within the stipulated time in the online order form as per Yjoz delivery policy.
• 3.3.4 Once your order is complete and confirmed by Yjoz, you have become a Subscriber (Musharik) and you will be updated on the status of the transaction online.
• 3.3.5 Should you wish to change the plan, extend the hire period or decide to purchase the product(s), you may do so at your own convenience, by revisiting Yjoz and updating the terms and conditions and payments accordingly as per the new plan.
• 3.3.6 Should you wish to cancel the hiring of the product(s), you may also do so at your convenience through Yjoz application, subject to the terms and conditions for cancellation and settlement of all dues to Yjoz, if any.
• 3.3.7 Upon expiry of the hire period and or cancellation of the hire by you, Yjoz will inspect the product(s) for wear and tear and or damages, if any, as per Yjoz Inspection Policy.
• 3.3.8 If the product(s) are found to be damaged, Yjoz will inform you the charges and compensations, including replacement, if the condition of the product(s) is found to be unusable due to the severity of damages.
• 3.3.9 In the event of expiry of hire and or cancellation of the hire and if the product(s) is found damaged, you agree to settle compensation for such damages and or replacement of the product(s) before delivery or handover of the product(s) back to Yjoz.
• 3.3.10 In the event of expiry of the hire, if the product(s) is free from damages, Yjoz will collect the product(s) from your address free of charge.
• 3.3.11 In the event of cancellation of hire by you and if the product(s) are free from any damages, Yjoz will arrange the collection of the product(s) from your location only after you have settled the charges for delivery.
• 3.3.12 In event you fail or declines settlement of any payments (subscription and or compensation) due you agree to give Yjoz full and exclusive right to deduct such payments from the deposit paid by you.

Article 4. COMMUNICATION

• 4.1 Yjoz communication with you shall be electronically through Yjoz application, by means of e-mail, text, in-app push notices etc.
• 4.2 For the legal purpose of commercial contract between Yjoz and you, your consent and agreement including notices, waivers and disclosures etc. is given electronically to satisfy all and any legal requirement that such communications be in writing, unless mandatory applicable laws specifically require a different form of communication.
• 4.3 In order to maximize your benefits, Yjoz may from time to, recommend features, products, and services that might be of interest to you, to identify your preferences, and personalize your experience.
• 4.4 The content that is included in Yjoz application, including but not limited to, text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations and trademarks and patents shall remain the sole and exclusive property of Yjoz with national and international copyright, author right protected under database laws. Any person including you, under no circumstances, unless with express written permission from Yjoz, may NOT extract, use, copy all or parts of the information, data and content by any means.
• 4.5 Subject to your agreement and compliance with Yjoz Terms and Conditions and after payment of applicable deposits, subscriptions, and compensations, Yjoz provides you temporary, limited, non-exclusive, non-transferable, non-sublicensable license to access and make personal and non-commercial use of Yjoz services during the contractual period.
• 4.6 This temporary license excludes any resale or commercial use Yjoz services or content or any reuse of any information for any other purpose or for the benefit of any other person, system or entity other than you.
• 4.7 Yjoz kindly reminds you that all rights are reserved and retained by Yjoz and its stakeholders including but not limited to its licensors, suppliers, publishers, rights holders, or other content providers. None of these rights, whole or in part, may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Yjoz.

Article 5. RESPONSIBILITIES OF YJOZ

• 5.1 Yjoz shall provide a unique electronic platform for you to participate your product(s) and or to hire purchase the product(s) on its application. However, Yjoz shall not be the owner, seller or the buyer of the product(s) and as such the final commercial contract or title to the product(s) lies between the owner vendor, hirer and or the buyer.
• 5.2 Yjoz shall be responsible for bridging you the Participant (Musahim) and the Subscriber (Musharik), making the product(s) available on Yjoz application including delivery of the product(s) back and forth.
• 5.3 Yjoz shall not be responsible nor liable for interruption, suspension of internet connection and communications, if any, that are not under the control of Yjoz, and for any losses incurred to you as a consequence of such failure.
• 5.4 Yjoz shall exert maximum effort in a responsible manner to its best capacity to avoid any such interruptions and miscommunications at all times by providing update technology, system and manpower to make the transactions easy and fool proof.

Article 6. YOUR RESPOSNSIBILITY

• 6.1 You as the Participant (Musahim) and or Subscriber (Musharik) shall provide correct and valid information and refrain use of any incorrect, misleading or invalid information which is also prohibited by UAE law.
• 6.2 You as Participant (Musahim) and or Subscriber (Musharik) must act in good faith, fill in application, pay deposits, subscriptions and other dues on time and use the services of Yjoz for saving costs and maximizing benefits.

Article 7. MEMBERSHIP ACCOUNT

• 7.1 You as a Participant (Musahim) and or Subscriber (Musharik) will be required to create a separate account with Yjoz for the ease of doing business and to login every time you want to interact with Yjoz.
• 7.2 You must be directly responsible for maintaining the confidentiality of your account, password, access to your account, and you also give your consent and agreement for Yjoz to handle your personal information related to the account you have created during your engagement with Yjoz.
• 7.3 You shall not share or leak the password and information must be kept secure, confidential and you should communicate with Yjoz in writing should you suspect any leakage or misuse of your account or information.
• 7.4 You may post reviews, comments, submit suggestions to improve Yjoz product(s) or Service(s) and maintain legal and moral discipline, avoid any act illegal, obscene, abusive, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to Yjoz and or any third parties.
• 7.5 You must also select valid payment settlement method for deposits, subscriptions and compensations to Yjoz and you shall be responsible for any additional charges related to your transactions with Yjoz via such payment methods to all parties.
• 7.6 You shall always defend, protect and not expose Yjoz to any damage, loss and or inconveniences of any kind during your contract with Yjoz.
• 7.7 Yjoz shall not collect, use or share any information related to your credit or debit card(s) or your bank account as such transactions are carried out by third parties such as banks on your behalf based on their privacy policies with your consent under separate agreements with you and Yjoz shall not be responsible nor liable for any costs or losses related to such transactions.
• 7.8 Yjoz has the exclusive right to refuse service, terminate your account or remove product(s) or edit content at any instance where Yjoz believes that you have violated terms of this contract and or any third-party rights or violated any local or international laws with regard to your engagement with Yjoz.

Article 8. PRODUCT INFORMATION

• 8.1 Yjoz shall always display correct and update information on product(s) offered, however, since Yjoz does not own the product(s), there may be information errors for which Yjoz shall not be held responsible. Hence you are required to read labels, warnings and directions provided and inquire any further clarifications regarding the product(s), and in order to protect the rights of all, any errors or flaws in information must be communicated with Yjoz immediately.

Article 9. PRODUCT PRICE ANAD AVAILABILITY

• 9.1 All products displayed and offered on Yjoz application are inclusive of Value Added Tax (VAT) payable to authorities in UAE.
• 9.2 Product(s) price does not include charges and payments to third parties like debit or credit charges to banks it is your responsibility to bear any additional charges and or costs directly.
• 9.3 Yjoz shall exert utmost effort to satisfy you, and because Yjoz services include third party contributions, Yjoz may not be able to guarantee neither quality nor availability of the products at all times.
• 9.4 Yjoz shall communicate with you should there be any issues with availability or quality of the product(s) and Yjoz may suggest suitable alternatives based on your preferences.

Article 10. PRODUCT DELIVERY

• 10.1 As a Participant (Musahim) you shall deliver the product(s) to Yjoz as per the location and address given and Yjoz shall not take the responsibility of the product(s) until the delivery is confirmed by Yjoz.
• 10.2 Alternatively, upon your request and settlement of charges, Yjoz may take the responsibility of delivery of the product(s) from your preferred location to Yjoz location.
• 10.3 As a Subscriber (Musharik), Yjoz shall communicate with you and deliver and or may arrange the delivery of the product(s) to your preferred location within the time mentioned in the application, and upon completion of payment for delivery.
• 10.4 Yjoz may involve third party assistance in delivery for better service, in such cases there may be plausible delays outside the control of Yjoz and Yjoz shall not be responsible for any additional costs related to such delays.
• 10.5 It is your responsibility to receive and or arrange to receive the product(s) at your preferred location, on dates and times agreed. Yjoz shall charge you directly for delays caused due to your negligence to receive the product(s) delivered.

Article 11. WARRANTY

• 11.1 Yjoz shall not provide warranty and or guaranty of any form for the product(s) or services provided to you.
• 11.2 You shall be responsible for good care, proper maintenance of the product(s) and payments for defects, repairs and replacements defective part (product), if any, and or refund the cost of repair or replacement.
• 11.3 In case the Subscriber (Musharik) fails to settle such repair and or replacement costs, Yjoz has the exclusive right to deduct such payments from the deposit provided.

Article 12. COMPLAINTS AND SUGGESTIONS

• 12.1 In case of any dissatisfaction, claims of infringements of rights, suggestions for improvements, you have the right to submit any claims through Yjoz Complaints and Suggestions Form available on Yjoz application.
• 12.2 Yjoz may take actions to remedy the situation and share the information with related parties and or authorities in UAE so that all rights are protected.
• 12.3 Yjoz shall not be responsible in whatever manner for any counter claims by any third parties nor be liable for any loss, be it reputational or financial, that may be caused to you or any other party in relation to your complaints.

Article 13. PRIVACY

• 13.1 Yjoz shall collect and use your personal information to communicate and provide services to you that may include, but not limited to, information on interaction with content that are transactional in nature and use it only in to handle orders, delivery of products and services, process payments, promotional offers, troubleshoot, analyze performance, fix errors, and also to improve services, to recommend product(s), to identify preferences, and personalize experiences as well as to comply with legal and administrative requirements of UAE authorities.
• 13.2 Yjoz may also use some of your information for advertising and promotion of product(s) based on client interests and preferences related to features, products, and services.
• 13.3 Yjoz may use your information for detection and prevention of fraud, misappropriation, and risks to protect the security of transactions.
• 13.4 Yjoz shall not use, misuse and or share the information to any third parties accept to UAE authorities under legal or administrative requirements.
• 13.5 Yjoz application involves tripartite transaction and part of your information may be available to third party product(s) for hire purchase. However, Yjoz shall not be responsible for such communication and interaction with you and any third party directly and or indirectly.
• 13.6 Yjoz may use third party delivery, e-mail, social media promotion, data analysis, marketing, promotions and processing payments etc. and allow these third-party service providers to have limited access to your transactional and personal information required to complete such services in a manner that will not infringe your rights.
• 13.7 Yjoz shall guarantee protection and security of your personal making available update technology, data transfer, protocols, encryption and software.

Article 14. AMMENDMENTS TO CONTRACT

• 14.1 You as a Participant (Musahim) or Subscriber (Musharik) have the right to change the scheme, type of the product(s) and also period of your engagement (hire) as provided in Yjoz application.
• 14.2 Yjoz reserve exclusive right to alter and change its product(s), services, terms and conditions without any advance notice to you.
• 14.3 If any Terms and Conditions of Yjoz is deemed invalid, void, and or circumstantially unenforceable, such condition shall be deemed severable without affecting the validity and enforceability of the remaining terms and condition.

Article 15. JURISDICTION

• 15.1 All transactions under this contract shall be subject to laws and commercial practices related to hire purchase, financial transactions and delivery of products and services within UAE.

Article 16. DISPUTE RESOLUTION

• 16.1 All parties to this contract should always avoid disputes by good intention, behavior and proper communication to maximize mutual benefits and minimize losses.
• 16.2 Any disputes and or disagreements between parties to this contract shall be resolved amicably by mutual negotiations.
• 16.3 Any disputes unresolved amicably shall be subject to respective court of law within the jurisdiction of the UAE.

Article 17. WAIVER

• 17.1 In situations where Yjoz forgoes actions against breach of terms and conditions by you, Participant (Musahim) or Subscriber (Musharik), Yjoz may be entitled to claim its rights and remedies in any other event or situation.

Article 18. CONSENT AND AGREEMENT

• 18.1 The electronic service order form in Yjoz application is the legal offer to your engagement with Yjoz, either to display product(s) or hire purchase the product(s) offered by Yjoz as per terms and conditions provided here.
• 18.2 Yjoz shall confirm the request or the order electronically through the application with the condition that Yjoz has the right to decline the offer at any time on its discretion and without any further notice.
• 18.3 Upon confirmation of the request or order, this legal contract between you and Yjoz is deemed to be signed electronically.
• 18.4 This contract shall be deemed concluded either upon expiry of the hire period and or purchase of the product, unless renewed as per terms and conditions through Yjoz application, and or this contract is cancelled or nullified.
• 18.5 This contract may be terminated by any of the parties to it without any infringements or costs to the parties.

I have read, understood, agreed on the Terms and Conditions of Yjoz and hereby confirm my contractual engagement with Yjoz.
